Terms of Use
Beta version. Effective October 14, 2026. Last updated October 14, 2026.
1. Who We Are and What This Agreement Covers
These Terms of Use ("Terms") are a contract between Jonsson Associates, LLC, an Oregon limited liability company ("Pertify," "we," "us"), and the business or individual that creates a Pertify account ("Customer," "you"). They govern access to and use of the Pertify project-scheduling application at app.pertify.io, our website at pertify.io, and related services (the "Service").
By creating an account, or by accessing or using the Service, you agree to these Terms. If you are agreeing on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
2. Beta Status
Pertify is currently offered as a beta product. Features may change, be added or be removed without notice; uptime is not guaranteed; and data loss, while something we work to prevent, is a greater risk during this phase than for a generally available product. The Service is not yet intended for production use. You should not rely on Pertify as your only system of record for live, mission-critical scheduling data during the beta, and we recommend keeping your own backups (for example, periodic exports). We will give notice before the beta ends and general-availability terms take effect.
3. Eligibility
Pertify is available to both businesses and individuals. You do not need a company affiliation to sign up. You must be at least 18 years old to create an account or use the Service, and the Service is not directed to children. We do not knowingly collect information from anyone under 18.
Because individuals may sign up directly, certain consumer-protection laws may apply to your use of the Service in addition to these Terms. Nothing in these Terms limits any non-waivable consumer right you have under applicable law.
4. Accounts
- You register with an email address, and sign in with a one-time code sent to that address. We do not store a password for you.
- Accounts are organized into Organizations. An Organization may have multiple members, each with a role: Owner, Editor or Viewer, with optional per-project overrides (including "No access").
- You are responsible for keeping access to your email account secure and for all activity that occurs under your account.
- You agree to provide accurate registration information and to keep it current.
- The Owner role controls organization membership, billing and top-level settings. You are responsible for assigning roles appropriately, including limiting access to sensitive fields (see Section 8, Client View).
5. Customer Content
- "Customer Content" means all data, files and information that you or your organization's members put into the Service, including project plans, activities, estimates, dependencies, milestones, free-text descriptions, resource records, rates, costs, budgets, progress and actuals, baselines, and imported or exported files.
- You own your Customer Content. As between you and Pertify, you keep all right, title and interest in it.
- You grant Pertify a limited license to host, store, process, transmit and display Customer Content only as needed to provide, maintain and support the Service, and as otherwise allowed by our Privacy Policy.
- You are responsible for Customer Content, including its accuracy and your right to put it into the Service (see Section 6).
6. Third-Party Personal Data: Your Representations
Pertify lets you enter information about named individuals who are not Pertify users, for example team members, contractors or client-side personnel entered as "resources," including role, team, availability, working calendar, assignments and (internally) rate and cost information.
By entering data about such individuals, you represent and warrant that:
(a) you have the necessary rights, permissions and/or lawful basis to provide their personal data to Pertify for processing as described in these Terms and our Privacy Policy; (b) you will give those individuals any required notices; and (c) you are responsible for responding to their data-subject requests (access, correction, deletion and so on), and Pertify will provide reasonable help as a processor (see our Privacy Policy and, where applicable, our Data Processing Addendum).
7. Acceptable Use
You will not, and will not let others:
- upload or enter unlawful content, or content you do not have the right to share;
- upload malware or malicious files, including through the CSV/XLSX import feature;
- attempt to reverse-engineer, decompile or scrape the Service;
- share sign-in access outside your authorized organization members, or get around role-based access controls;
- use the Service to store especially sensitive regulated data, namely protected health information (PHI), government-classified information, payment card data outside designated payment fields, or data about children, all of which are out of scope for the Service; or
- interfere with or disrupt the integrity or performance of the Service.
8. Client View and Visibility Controls
Pertify includes field-level visibility settings (a "Client View") that let an Organization mark certain fields as internal-only or client-visible. Rate and certain cost fields are always internal. Client View is an in-app setting, visible only to authorized organization members and collaborators within the Service, and does not create an externally shareable link. Decisions about what to share, and with whom, are made by you, not by Pertify.
9. Fees and Payment
- The Service is free during the beta. When paid plans launch, we will give you at least 30 days' notice before any charges apply, and you can choose a plan or export your Customer Content.
- Paid plans will be described at signup or in an order form. Payments will be processed by a third-party, PCI-compliant payment processor (Stripe); Pertify does not store your full payment card details.
- Subscriptions will renew automatically at the end of each billing period unless canceled before renewal, consistent with applicable automatic-renewal laws (for example, California's Automatic Renewal Law). We will send any required renewal notices.
- Fees are exclusive of taxes. You are responsible for applicable taxes other than those based on Pertify's income.
- Refund terms will be stated when paid plans launch.
10. Communications
- We send transactional messages needed to run the Service, such as sign-in codes and organization or project invitations.
- We send marketing messages only with your consent where required, and every marketing message includes a way to unsubscribe, consistent with CAN-SPAM and applicable e-privacy laws.
11. Intellectual Property
Pertify and its licensors own all right, title and interest in the Service, including its software, design and trademarks, excluding Customer Content. If you send us feedback or suggestions about the Service, you grant Pertify a perpetual, irrevocable, royalty-free license to use that feedback without restriction or obligation to you.
12. Suspension and Termination
- You may end your account at any time by emailing jonssonassociates@gmail.com.
- We may suspend or end access for breach of these Terms, non-payment, legal or security reasons, or (during the beta) discontinuation of the beta program, with notice where reasonably practicable.
- After termination, you may export your Customer Content for 30 days. After that, it is handled as described in the Retention and Deletion section of our Privacy Policy.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, EXCEPT AS EXPRESSLY STATED IN THESE TERMS.
Decision support, not professional advice. Schedules, estimates, budgets, earned-value metrics and other outputs from the Service are decision-support tools only. They are not professional project-management, financial, accounting, engineering or legal advice, and are not a substitute for independent professional judgment. You are solely responsible for decisions you make using the Service's outputs.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERTIFY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. PERTIFY'S TOTAL LIABILITY WILL NOT EXCEED THE FEES PAID BY CUSTOMER TO PERTIFY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15. Indemnification
You agree to indemnify and hold Pertify harmless from third-party claims arising from (a) your Customer Content, including any failure to have the rights to enter third-party personal data, (b) your breach of these Terms, or (c) your violation of applicable law.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-laws principles.
Arbitration Agreement and Class Action Waiver. Except for claims that qualify for small-claims court, or claims for injunctive relief to protect intellectual property or confidential information, you and Pertify agree that any dispute, claim or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration rather than in court. This agreement to arbitrate is governed by the Federal Arbitration Act. YOU AND PERTIFY EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION OR REPRESENTATIVE ACTION. Arbitration will be administered by the American Arbitration Association (AAA) under its applicable rules and will take place in, or otherwise be connected to, Multnomah County, Oregon, unless the parties agree otherwise.
For any dispute not subject to arbitration (including small-claims matters, or actions to enforce an arbitration award or seek injunctive relief), the parties consent to the exclusive jurisdiction and venue of the state courts in Multnomah County, Oregon, or the U.S. District Court for the District of Oregon (Portland Division).
17. Changes to These Terms
We may update these Terms from time to time. We will give notice of material changes (for example, by email or in-app notice) before they take effect. Continuing to use the Service after changes take effect means you accept them.
18. Miscellaneous
Entire agreement; severability; no waiver; assignment (Pertify may assign these Terms in connection with a merger, acquisition or sale of assets). Notices to Pertify: jonssonassociates@gmail.com.
